Riversand Technologies, Inc. is seeking an experienced In-House Counsel to provide corporate and legal analysis and advice on business matters including, governance and contracts. The In-House Counsel will represent Riversand on challenging matters across a broad spectrum of business lines and opportunities, including our rapidly expanding Master Data Management platform. The position will focus on providing strategic legal counseling to internal products, operations, and business teams in order to identify and mitigate risks and safeguard our reputation by guaranteeing that the company strictly follows law guidelines and give legal advice to management about all relevant issues.

Job responsibilities and duties also include:

  • Lead the vendor contracting process for functional team(s), reviewing and resolving vendor contract redlines and comments.
  • Determine negotiation strategy, draft contracts, amendments and schedules with internal clients, ensuring that required legal, financial and performance terms are reflected.
  • Identify  and call out potential risks, making recommendations to resolve them, and providing advice.
  • Through understanding vendor service offerings and staying current with industry trends as well as the legal and regulatory landscape of the business you serve as an expert on Riversand products based on the vendor profile.
  • Advise business partners on legal, contractual and risk matters impacting their areas of responsibility.
  • Lead the negotiation strategy, contracts and advise partners on matters regarding mergers and acquisitions.
  • Attend leadership and board members, advising on all legal matters and legal implications regarding strategy.
  • Key point of contact regarding matters of compliance.

Minimum Requirements:   

  • Graduated with a JD from an accredited law school and a member of the Texas State Bar.
  • Membership in good standing with State Bar, and with no outstanding disciplinary actions.
  • 10+ years relevant experience working at either a law firm or as in-house counsel.
  • Highly motivated and organized and able to set and execute priorities effectively. operating with a high level of autonomy.
  • Experience acting as the lead negotiator of technology solutions and professional services contracts with sophisticated clients and/or vendors.
  • Strong analytical and decision-making skills and attention to detail, particularly with respect to risk identification and mitigation and contract drafting.
  • Ability to diagnose complex problems, develop effective recommendations, negotiate resolutions, and resolve issues in a professional manner.
  • Experience handling company mergers and acquisitions.
  • Experience working with technology/SaaS corporations.
